Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service", "Agreement") carefully before using the The Ministry Kit website and services (the "Service") operated by The Ministry Kit ("us", "we", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Acceptance of Terms

By registering for an account, you represent that you are authorized to bind your church or organization to these Terms. The Service is strictly intended for use by legitimate religious organizations, churches, and ministries.

2. Description of Service

The Ministry Kit provides software tools, including SMS automation and hosted forms, intended to facilitate communication for churches. The Service is provided "as is" and "as available".

3. Subscriptions and Billing

a. Subscription Plans

We offer various subscription plans. By subscribing, you agree to pay the fees associated with your chosen plan. All charges are processed in Canadian Dollars (CAD) unless otherwise indicated.

b. Billing Cycle and Renewals

Your subscription will automatically renew at the end of each billing cycle (monthly or annually) unless you downgrade or cancel your subscription through our billing portal prior to the renewal date.

c. Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle. We do not offer refunds or credits for partial billing periods.

4. Acceptable Use Policy

You agree to use the Service in compliance with all applicable local, regional, and national laws, including anti-spam laws (e.g., CASL, TCPA). You must not:

• Use the Service to send unauthorized, unsolicited, or spam messages.
• Transmit any material that is unlawful, offensive, discriminatory, or intended to scam or defraud.
• Use the Service to collect sensitive personal data without proper consent.
• Attempt to bypass or exploit any security mechanisms of the Service.

We reserve the right to suspend or terminate your account without notice if we determine, at our sole discretion, that you have violated this Acceptable Use Policy.

5. SMS Compliance and Opt-Out

You are solely responsible for ensuring you have obtained explicit consent from your members/contacts before sending them SMS messages via our Service. You must honor opt-out requests (e.g., STOP messages) immediately. We are not liable for any claims resulting from your failure to comply with messaging regulations.

6. Limitation of Liability and Indemnification

a. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall The Ministry Kit, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

b. Indemnification

You agree to defend, indemnify and hold harmless The Ministry Kit and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, c) your violation of any laws, including privacy and anti-spam laws.

7. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

We do not warrant that the Service will function uninterrupted, secure or available at any particular time or location; any errors or defects will be corrected; or that the Service is free of viruses or other harmful components.

8. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
